Standard Terms & Conditions

These Terms & Conditions apply to all quotations, estimates, sales, services, consulting, and transactions unless otherwise agreed in writing.

1. General

All proposals and sales are subject exclusively to these Terms & Conditions. Any additional or conflicting terms from Customer are rejected unless expressly accepted in writing.

2. Product Sales

2.1 Scope: Sale is limited to the specific products listed in the quotation or invoice.

2.2 Pricing: Pricing is valid for thirty (30) days unless otherwise stated and subject to manufacturer availability.

2.3 Exclusions: Unless specifically stated otherwise in writing, all estimates and quotations exclude shipping, freight, handling, insurance, sales tax, use tax, customs duties, and similar charges. Such charges will be added to the final invoice as applicable.

2.4 Payment Terms: Standard terms are Net 15 unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month (18% annually) or the maximum allowed by law.

2.5 Taxes: Customer is responsible for all applicable sales, use, excise, or similar taxes unless a valid exemption certificate is provided prior to invoicing.

2.6 Shipping & Risk of Loss: Shipments are FOB shipping point unless otherwise stated. Risk transfers upon delivery to carrier.

2.7 Inspection: Customer must inspect goods upon receipt and report issues within five (5) business days.

2.8 Returns: Returns require prior written authorization. Special-order or custom items are non-cancelable and non-returnable.

2.9 Warranty: Products are subject solely to manufacturer warranties. No additional warranties are provided.

3. Field Labor & Services

3.1 Scope: Services include only those specifically described in the estimate.

3.2 Billing: Labor billed at agreed hourly rates. Overtime, travel, mobilization, specialty tooling, consumables, and per diem billed as applicable.

3.3 Site Conditions: Customer shall provide safe access and a hazard-free work environment.

3.4 Delays: Delays caused by Customer or site conditions may result in additional charges.

3.5 Payment: Service invoices are due per stated terms regardless of project completion status.

4. Consulting & Technical Advisory Services

4.1 Advisory Nature: Consulting services are advisory only. Implementation responsibility remains with Customer.

4.2 No Guarantee: No guarantee of performance outcomes resulting from recommendations is provided.

4.3 Confidentiality: Confidential information provided by Customer will not be disclosed except as required by law.

5. Limitation of Liability

Precision Valve & Controls shall not be liable for incidental, consequential, special, or indirect damages including lost profits, downtime, or production losses. Total liability shall not exceed the amount paid for the specific goods or services giving rise to the claim.

6. Indemnification

Customer agrees to indemnify and hold harmless Precision Valve & Controls from claims arising from Customer misuse, improper installation, modification, or application of supplied goods or services.

7. Force Majeure

Precision Valve & Controls is not liable for delays or failures caused by events beyond reasonable control including acts of God, labor disputes, supply chain disruptions, or governmental actions.

8. Governing Law

These Terms & Conditions shall be governed by the laws of the State of California unless otherwise agreed in writing.
